Terms governing your use of AlphaVue and your account.

1. Acceptance of Terms and Binding Effect
By accessing, browsing, or using the AlphaVue platform, mobile applications, APIs, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Terms"), together with our Privacy Policy, Refund Policy, Risk Disclosure, and any other policies incorporated by reference. These Terms constitute a legally binding agreement between you and AlphaVue Inc. ("AlphaVue," "we," "us," or "our").
If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and the terms "you" and "your" shall refer to that entity. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Service.
Your continued use of the Service following any modification to these Terms constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically to stay informed of any updates.
2. Definitions
"Account" means the user account you create to access the Service. "Content" means all text, data, charts, images, AI-generated output, analyses, research reports, and other materials available through the Service. "User Content" means any content, feedback, comments, or other materials that you submit, post, or transmit through the Service. "Subscription" means a recurring paid plan that grants access to premium features of the Service.
"AI Output" means any analysis, report, summary, recommendation, or other content generated by the artificial intelligence models integrated into the Service, including but not limited to stock analysis, market insights, and research summaries. "Third-Party Services" means any websites, applications, APIs, or services operated by third parties that are linked to, integrated with, or accessible through the Service.
"Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, trade dress, domain names, and any other proprietary rights recognized under any applicable law. "Personal Information" has the meaning set forth in our Privacy Policy.
3. Service Description
AlphaVue is an AI-powered stock research and analysis platform designed to assist investors with market research, stock screening, portfolio analysis, alert notifications, watchlist management, and related investment research workflows. The Service leverages advanced artificial intelligence models provided by third-party providers, including Anthropic and OpenAI, to generate research insights and analytical outputs.
The Service may include free-tier access with limited features, paid subscription plans with enhanced capabilities, API access for qualified users, and additional tools or features that we may introduce from time to time. The specific features available to you depend on your subscription plan and account type.
AlphaVue is a research and informational tool only. The Service is not a broker-dealer, investment adviser, financial planner, or fiduciary. We do not execute trades, manage portfolios, hold custody of assets, or provide personalized investment advice.
4. Service Changes and Interruptions
We reserve the right to modify, update, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, for any reason, including but not limited to maintenance, upgrades, security patches, feature changes, or business decisions. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We do not guarantee that the Service will be available at all times or without interruption. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet, electronic communications, and third-party infrastructure. We are not responsible for any delays, delivery failures, or other damage resulting from such problems.
In the event of a planned service interruption that is expected to materially affect your use of the Service, we will use commercially reasonable efforts to provide advance notice via email or in-app notification.
5. Account Registration and Security
To access certain features of the Service, you must create an Account by providing accurate, current, and complete registration information, including your name, email address, and a secure password. You agree to keep your registration information up to date at all times. Providing false, misleading, or outdated information may result in the suspension or termination of your Account.
You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account, whether or not authorized by you. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your Account or any other breach of security. AlphaVue shall not be liable for any loss or damage arising from your failure to safeguard your Account credentials.
You may not share, transfer, or assign your Account to any other person or entity. Each Account is for a single user only, unless your subscription plan expressly provides for multiple users or team access.
6. User Eligibility
The Service is intended for users who are at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater). By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement under applicable law.
If you are located in a jurisdiction where access to or use of the Service, or any content available through the Service, would be contrary to local law or regulation, you must not access or use the Service. You are solely responsible for compliance with all local laws and regulations applicable to your use of the Service.
AlphaVue reserves the right to refuse service, terminate Accounts, or restrict access to the Service in its sole discretion, including without limitation if we reasonably believe that a user's conduct violates applicable law or is harmful to the interests of AlphaVue, other users, or third parties.
7. Subscriptions and Payments
Certain features of the Service are available only through paid Subscriptions. By purchasing a Subscription, you agree to pay the applicable fees, taxes, and charges for your selected plan as described at the time of purchase. All fees are quoted in United States dollars unless otherwise specified. Payment processing is handled by our third-party payment processor, Stripe, and is subject to Stripe's terms of service and privacy policy.
Subscriptions automatically renew at the end of each billing cycle (monthly or annually, as applicable) unless you cancel your Subscription before the renewal date. You authorize AlphaVue and Stripe to charge your designated payment method for all recurring fees until you cancel. Subscription fees are non-refundable except as expressly set forth in our Refund Policy or as required by applicable law.
AlphaVue reserves the right to change Subscription pricing at any time. Any price changes will take effect at the start of your next billing cycle following notice to you. If you do not agree with a price change, you may cancel your Subscription before it renews at the new price.
8. Free Trials and Promotions
AlphaVue may offer free trial periods, promotional pricing, or other special offers from time to time. Free trials are intended to allow new users to evaluate the Service before committing to a paid Subscription. Eligibility for free trials is limited to one trial per person, household, or Account, and AlphaVue reserves the right to determine eligibility in its sole discretion.
Unless you cancel before the end of a free trial period, your trial will automatically convert to a paid Subscription at the standard rate for the applicable plan. You will be charged on the first day following the end of the trial period. It is your responsibility to cancel before the trial ends if you do not wish to be charged.
Promotional offers may be subject to additional terms and conditions, which will be disclosed at the time the offer is presented. AlphaVue reserves the right to modify or terminate any promotional offer at any time without prior notice.
9. Refunds and Cancellation
You may cancel your Subscription at any time through your Account settings or by contacting us at [email protected]. Upon cancellation, your Subscription will remain active until the end of your current billing period, and you will not be charged for subsequent billing cycles. No partial refunds will be issued for unused portions of a billing period unless required by applicable law.
Refund requests are handled in accordance with our Refund Policy, which is incorporated into these Terms by reference. In general, Subscription fees are non-refundable, except in cases of billing errors, service unavailability, or as otherwise required by law. All refund requests must be submitted within thirty (30) days of the charge in question.
AlphaVue reserves the right to issue refunds or credits at its sole discretion. Any refund granted in one instance does not entitle you to a refund in any future instance.
10. User Conduct
You agree to use the Service only for lawful purposes and in compliance with these Terms. You shall not: (a) use the Service in any manner that violates any applicable federal, state, local, or international law or regulation, including securities laws, privacy laws, anti-spam laws, and consumer protection laws; (b) use the Service to engage in market manipulation, insider trading, front-running, or any other illegal trading activity; (c) attempt to gain unauthorized access to any part of the Service, other Accounts, computer systems, or networks connected to the Service; or (d) interfere with or disrupt the integrity or performance of the Service or its related systems.
You further agree not to: (e) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service; (f) use any automated means, including bots, crawlers, scrapers, or similar tools, to access or collect data from the Service without our express written permission; (g) use the Service to distribute malware, viruses, or any other harmful code; or (h) impersonate any person or entity, or falsely represent your affiliation with any person or entity.
AlphaVue reserves the right to investigate and take appropriate action against any user who, in our sole discretion, violates these conduct requirements, including removing content, suspending or terminating the user's Account, and reporting the user to law enforcement authorities.
11. User-Generated Content
You may submit User Content through the Service, including watchlists, notes, comments, custom analyses, and feedback. You retain ownership of your User Content, but by submitting it to the Service, you grant AlphaVue a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, and display your User Content solely for the purposes of operating, improving, and providing the Service.
You represent and warrant that you own or have the necessary rights, licenses, and permissions to submit your User Content, and that your User Content does not infringe or violate any third party's intellectual property rights, privacy rights, or other legal rights. You are solely responsible for your User Content and the consequences of submitting it through the Service.
AlphaVue does not endorse any User Content and has no obligation to monitor, review, or edit User Content. However, we reserve the right to remove or disable access to any User Content that we determine, in our sole discretion, violates these Terms, is objectionable, or may expose AlphaVue to legal liability.
12. Intellectual Property
The Service and all Content available through it, including but not limited to software, code, algorithms, user interfaces, designs, text, graphics, logos, icons, images, data compilations, and AI models, are owned by or licensed to AlphaVue and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The AlphaVue name, logo, and all related product and service names, designs, and slogans are trademarks of AlphaVue Inc.
Subject to your compliance with these Terms, AlphaVue grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial research and informational purposes (or for internal business purposes if you hold a team or enterprise Subscription). This license does not include the right to: (a) resell, redistribute, or commercially exploit any part of the Service; (b) copy, reproduce, or create derivative works based on the Service; or (c) use data mining, robots, or similar data-gathering or extraction methods on the Service.
All rights not expressly granted herein are reserved by AlphaVue. Any unauthorized use of the Service or its Content may violate copyright, trademark, and other applicable laws and could result in criminal or civil penalties.
13. AI Output and Research Content
The Service incorporates artificial intelligence models provided by third-party providers, including Anthropic and OpenAI, to generate AI Output. While we strive to provide accurate and useful AI Output, you acknowledge and agree that AI Output may contain errors, inaccuracies, omissions, or outdated information. AI Output is generated algorithmically and does not reflect the opinions or recommendations of AlphaVue or any of its employees, officers, or directors.
AI Output should be treated as a starting point for your own research and analysis, not as a definitive or authoritative source. You are solely responsible for independently verifying any AI Output before relying on it for any purpose, including investment decisions. AlphaVue makes no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any AI Output.
You may use AI Output generated through your Account for your own personal or internal business research purposes. However, you may not redistribute, publish, or commercially exploit AI Output without AlphaVue's prior written consent. AI Output may be based on publicly available data and third-party data sources, and AlphaVue does not guarantee the accuracy or availability of such underlying data.
14. Non-Investment Advice Disclaimer
ALPHAVUE IS NOT A REGISTERED BROKER-DEALER, INVESTMENT ADVISER, FINANCIAL PLANNER, OR FIDUCIARY. THE SERVICE PROVIDES RESEARCH TOOLS, DATA, ANALYSIS, AND AI-GENERATED INSIGHTS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. NOTHING ON THE SERVICE CONSTITUTES, OR SHOULD BE CONSTRUED AS, INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, TAX ADVICE, LEGAL ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE OR RECOMMENDATION.
Any references to specific securities, asset classes, market sectors, or investment strategies on the Service are provided solely for illustrative and informational purposes and do not constitute a recommendation to buy, sell, or hold any security. Past performance is not indicative of future results. All investments involve risk, including the possible loss of principal, and there is no guarantee that any investment strategy will be profitable.
You acknowledge and agree that you are solely responsible for your own investment decisions and trading activities. You should consult with a qualified financial adviser, broker-dealer, tax professional, or attorney before making any investment decisions. AlphaVue shall have no liability for any investment decisions you make based on information obtained through the Service.
15. Third-Party Services and Links
The Service may contain links to, or integrations with, Third-Party Services, including market data providers, payment processors (Stripe), AI model providers (Anthropic, OpenAI), analytics services, and other third-party platforms. These Third-Party Services are not owned or controlled by AlphaVue, and we are not responsible for their content, privacy practices, or availability.
Your use of Third-Party Services is subject to the terms and conditions and privacy policies of those third parties. AlphaVue does not endorse, warrant, or assume any responsibility for any Third-Party Services, and your interactions with Third-Party Services are solely between you and the relevant third party.
If you access a Third-Party Service through the Service, you do so at your own risk. AlphaVue shall not be liable for any loss or damage caused by or in connection with your use of or reliance on any Third-Party Service.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
ALPHAVUE DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) THE QUALITY OF ANY CONTENT, DATA, OR AI OUTPUT OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED. ANY CONTENT DOWNLOADED FROM OR OTHERWISE OBTAINED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN RISK.
ALPHAVUE DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY MARKET DATA, STOCK PRICES, FINANCIAL INFORMATION, OR AI-GENERATED ANALYSES AVAILABLE THROUGH THE SERVICE. MARKET DATA MAY BE DELAYED, AND ALPHAVUE SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM RELIANCE ON SUCH DATA.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALPHAVUE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, INVESTMENT OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ALPHAVUE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALPHAVUE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS (US $100); OR (B) THE TOTAL AMOUNT OF FEES YOU PAID TO ALPHAVUE DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
18. Indemnification
You agree to indemnify, defend, and hold harmless AlphaVue Inc., its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) your User Content; or (e) your infringement of any third party's rights, including intellectual property rights and privacy rights.
AlphaVue reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of AlphaVue.
This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.
19. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator, and the seat of the arbitration shall be Wilmington, Delaware.
The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees in connection with the arbitration, unless the arbitrator determines that a party's claims or defenses were frivolous, in which case the arbitrator may award reasonable attorneys' fees to the prevailing party.
YOU AND ALPHAVUE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Any claim arising out of or relating to these Terms must be filed within one (1) year after the cause of action accrues, or such claim shall be permanently barred.
20. Termination and Account Deletion
You may terminate your Account at any time by using the account deletion feature in your Account settings or by contacting us at [email protected]. Upon termination by you, your right to access the Service will cease immediately, although your Subscription will remain active until the end of the current billing period for which you have already paid.
AlphaVue may suspend or terminate your Account and access to the Service at any time, with or without cause, and with or without notice, if we reasonably believe that: (a) you have violated these Terms; (b) your conduct creates risk or possible legal exposure for AlphaVue; (c) your Account should be removed due to prolonged inactivity; or (d) providing the Service to you is no longer commercially viable.
Upon termination of your Account, we will delete or anonymize your personal data in accordance with our Privacy Policy and applicable law. Certain information may be retained as required by law, for legitimate business purposes, or to resolve disputes. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 12 (Intellectual Property), 14 (Non-Investment Advice Disclaimer), 16 (Disclaimers), 17 (Limitation of Liability), 18 (Indemnification), 19 (Dispute Resolution), and 21 (Privacy and Data Processing).
21. Privacy and Data Processing
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, store, and share your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
AlphaVue processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) for users in the European Union and United Kingdom, and the California Consumer Privacy Act / California Privacy Rights Act (CCPA/CPRA) for California residents. By using the Service, you acknowledge that your data may be transferred to and processed in the United States and other jurisdictions where AlphaVue and its service providers operate. We implement appropriate safeguards for international data transfers as described in our Privacy Policy.
22. Export Controls and Sanctions
The Service may be subject to United States export control and sanctions laws and regulations, including the Export Administration Regulations (EAR) and programs administered by the Office of Foreign Assets Control (OFAC). You agree that you will not access or use the Service in violation of any applicable export control or sanctions law.
You represent and warrant that: (a) you are not located in, or a resident or national of, any country subject to comprehensive U.S. economic sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); (b) you are not listed on any U.S. government restricted-party list; and (c) you will not use the Service for any purpose prohibited by applicable export control or sanctions laws.
If AlphaVue determines that your use of the Service may violate export control or sanctions requirements, we may immediately suspend or terminate your access without notice or liability.
23. Severability and Waiver
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
The failure of AlphaVue to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of AlphaVue. No waiver shall be deemed a further or continuing waiver of such provision or any other provision.
24. Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, Risk Disclosure, and any other legal notices or policies published by AlphaVue on the Service, constitute the entire agreement between you and AlphaVue with respect to your use of the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and AlphaVue regarding the Service.
In the event of a conflict between these Terms and any other AlphaVue policy or agreement, these Terms shall control unless the other policy or agreement expressly states that it supersedes these Terms with respect to a specific matter.
25. Changes to Terms
AlphaVue reserves the right to modify these Terms at any time in its sole discretion. When we make material changes, we will update the "Last updated" date at the top of these Terms and may provide additional notice through email, in-app notifications, or other reasonable means.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may terminate your Account as described in Section 20.
